Regulatory Context

1. The Electronic Invoicing Mandate at a Glance

On September 22, 2026, Commissioner of Internal Revenue Hon. Charlito Martin R. Mendoza signed Revenue Memorandum Circular (RMC) No. 098-2026. This landmark circular establishes the formal operational guidelines and legal parameters for the mandatory rollout of electronic invoicing across covered Philippine enterprises by December 31, 2026.

Crucially, the issuance codifies the distinct separation between the issuance of an electronic invoice to a customer and the transmission of sales data to the BIR's Electronic Invoicing System (EIS).

Section 237: Electronic Invoicing

Mandatory by Dec 31, 2026
  • Governs the issuance and transmittal of electronic invoices from the seller to the buyer.
  • Requires a formal Permit to Issue (PTI) Electronic Invoice from the taxpayer's RDO / Large Taxpayers Office.
  • Mandates automated generation in a structured data format (JSON or JSON-convertible).
  • Invoices must be legally substantiative for tax deductions under Section 34(A)(1)(b).

Section 237-A: Real-Time Sales Reporting

Deferred Operational Track
  • Governs real-time / periodic transmission of structured sales records to the BIR Electronic Invoicing System (EIS).
  • Mandates securing a Permit to Transmit (PTT), which applies only upon separate directive or notification from the Commissioner.
  • Taxpayers are NOT held in breach of Section 237-A pending the release of separate sales reporting operational guidelines.
  • E-Invoicing software must still be technically capable of extracting reporting data.

Applicability & Thresholds

2. Taxpayer Coverage Matrix: Who is Mandated vs. Exempt?

Section III of RMC 098-2026 harmonizes coverage with the Ease of Paying Taxes (EOPT) Act (RA No. 11976) and Revenue Regulations No. 8-2024:

Taxpayer Classification Compliance Status Statutory Deadline Governing Rules
Large Taxpayers Service (LTS)
All LTS registered corporations & multinationals
Mandatory December 31, 2026 Must secure PTI and pass EIS certification within 6 months.
EOPT Large Taxpayers
Gross annual sales of ₱1 Billion and above
Mandatory December 31, 2026 Harmonized with RR No. 8-2024 classification framework.
E-Commerce Taxpayers
Small (₱3M–₱20M) & Medium (₱20M–₱1B) online sellers & platforms
Mandatory December 31, 2026 Digitally ordered, digitally delivered, or platform-enabled sales.
CAS / Invoicing Software Users
Entities with CAS, CBA with Records, or POS with e-invoicing
Mandatory December 31, 2026 Existing CAS PTU does NOT replace PTI Electronic Invoice.
Micro Taxpayers (EOPT)
Gross annual sales below ₱3,000,000
Expressly Exempt N/A (Exempt) Exempt from mandatory e-invoicing; may voluntarily adopt.
Voluntary Adopters
Non-covered enterprises wishing to modernize
Voluntary Option At taxpayer discretion Must apply for and secure RDO PTI prior to issuance.

The "No Rolling Back" Rule on EOPT Reclassification

Under Section IV(16), if an enterprise is reclassified upward (e.g., Medium to Large), it receives a transition period of not less than six (6) months to comply with Large Taxpayer standards. However, if an enterprise is subsequently downgraded (e.g., Small to Micro, or delisted from LTS), it must continue complying with the previously approved electronic invoicing requirements. Downward reclassification does not revoke your e-invoicing status!

Technical Architecture

3. The Three Pillars of a Legally Valid Electronic Invoice

Under Section IV(4), an invoice is legally recognized as an "Electronic Invoice" only if it concurrently satisfies three non-negotiable statutory criteria:

⚙️

1. Structured Format

Generated by a duly registered and accredited software/system in a structured digital format (such as JSON). Inward data can use other formats if convertible to BIR-prescribed JSON without altering substantive fields under Section 113 of the Tax Code and RR No. 7-2024.

📡

2. Electronic Delivery

Digitally generated and transmitted directly to the buyer via email, secure web portals, mobile applications, or dynamically generated Quick Response (QR) Codes. A paper printout must still be furnished upon request or in B2C cash counter scenarios.

📊

3. Extractable Sales Data

The underlying sales information must be completely extractable, machine-readable, and ready for automated batch or API transmission to the BIR Electronic Invoicing System (EIS) repository without manual rekeying.

🚫

Strict Prohibition: Office Productivity Applications Are Void

RMC No. 098-2026 expressly establishes: Invoices created manually using office productivity applications—including Microsoft Word, Microsoft Excel, Google Docs, Google Sheets, or static PDF templates—SHALL NOT BE CONSIDERED VALID ELECTRONIC INVOICES for Philippine tax compliance. Businesses relying on spreadsheet billing templates will be penalized for failure to issue valid invoices, and corporate purchasers will face disallowance of corresponding expense deductions and input VAT claims!

Clarification on POS and System-Printed Documents: Invoices generated by a CAS or POS and subsequently printed on paper for counter issuance—without the technological capability to electronically transmit the file to the customer or extract data for the BIR—are classified as "system-generated non-electronic invoices" and remain governed by legacy manual/POS regulations.

Compliance Roadmap

4. The Two-Stage Permitting & Certification Roadmap

Achieving full compliance requires navigating two mandatory phases: obtaining administrative authority from your RDO, followed by technical system certification through the BIR's testing portal:

1

System Gap Analysis

Audit ERP/invoicing software to ensure JSON mapping, credit note logic, and downtime fallback capabilities comply with RR 11-2025.

In-House or ESP
2

File PTI Application

Submit formal application for Permit to Issue (PTI) at the registered RDO or Large Taxpayers Office with system documentation.

RDO / LT Office Filing
3

20-Day BIR Approval

The BIR evaluates documentary submissions within a statutory standard of 20 working days and issues the formal PTI.

Statutory 20-Day SLA
4

EIS Portal Testing

Log on to eis-cert.bir.gov.ph. Run the 5 mandatory automated tests (or 7 tests if utilizing API callback architecture).

EIS Certification Portal
5

Certified E-Invoicer

Secure EIS Certificate within 6 months from PTI issuance. Full deduction substantiation under Section 34(A)(1)(b).

Zero Revocation Risk

⚠️ Critical Legal Distinction: CAS PTU / AC ≠ PTI Electronic Invoice

Many corporate controllers mistakenly believe their existing Permit to Use (PTU) or Acknowledgement Certificate (AC) for Computerized Accounting Systems covers electronic invoicing. RMC 098-2026 makes it explicitly clear: A CAS PTU/AC authorizes only the use of computerized books and records. It does NOT authorize the issuance of electronic invoices. Every CAS taxpayer issuing digital invoices must apply for a dedicated Permit to Issue (PTI) Electronic Invoice.

Operational Governance

5. Invoicing Corrections, Branch Management & Downtime Fallback

RMC 098-2026 establishes strict operating parameters for handling modifications, power outages, and nationwide branch networks:

Downward Adjustment

Credit Note / Memo Only

Any reduction in the invoiced amount due to merchandise returns, trade allowances, client discounts, or overbilling must be effected through an authorized Credit Note / Memo that explicitly references the serial number and date of the original electronic invoice.

Upward Adjustment

New Electronic Invoice

Any increase in the transaction amount, billing price, or additional scope shall require the issuance of a brand new electronic invoice. Under no circumstances may an already issued electronic invoice be deleted, edited, or modified!

⚡ Downtime Protocol (Force Majeure)

In the event of internet failure, server crash, power outage, cybersecurity incident, or force majeure:

  1. The taxpayer must immediately issue BIR-authorized manual invoices. No sale may occur without an authorized invoice.
  2. System downtime does NOT relieve the taxpayer from invoice issuance or recordkeeping penalties.
  3. Mandatory Replacement: Upon system recovery, all manual invoices issued during downtime must be converted into electronic invoices referencing the manual serial numbers.

🏢 Branch-Wide PTI Administration

Compliance applies to the taxpayer as a unified corporate entity:

  • The Head Office and all registered branches receive a PTI bearing the same master PTI number, indicating the respective branch.
  • If different branches run different ERPs/POS, a separate PTI must be secured for each distinct software system.
  • Opening new branches using the identical approved system requires only formal written notification to the BIR—no new PTI number is assigned.

Critical Action Items for Your Finance Team:

Action Protocol

6. The CFO & Controller Action Checklist for Dec 31, 2026

Finance directors, compliance officers, and tax controllers must execute these six tactical workstreams to guarantee seamless compliance without incurring administrative penalties:

1. Invoicing Software Inventory

Map all software generating sales invoices across your head office, divisions, and operating branches. Determine whether systems use proprietary in-house code, commercial ERPs, or ESP integrations.

2. Eliminate Office Productivity Apps

Immediately terminate the practice of billing customers using MS Word, Excel, or Google Docs templates. Migrating to structured software is legally mandatory to protect expense deductibility.

3. Prepare RDO PTI Application

Assemble technical specifications, JSON data schema samples, system architecture diagrams, and sworn statements. Allow 20 working days for BIR evaluation prior to production rollout.

4. Monitor the 6-Month EIS Clock

The day your PTI is issued, start the timer. You have exactly six months to log into eis-cert.bir.gov.ph and pass the 5 to 7 mandatory test cases to avoid permit revocation.

5. Establish Credit Note Workflows

Configure billing engines so staff cannot alter issued electronic records. Standardize automated Credit Note / Memo generation for allowances and new invoice generation for scope additions.

6. Secure Manual Backup Invoices

Procure and safeguard BIR-authorized manual backup invoices for downtime scenarios. Document formal standard operating procedures (SOP) for replacing manual invoices upon system restoration.
